Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you," or "your") and 1048035 B.C. LTD., a corporation incorporated under the laws of Ontario, Canada, with its registered office at Office #645 145 ½ Church Street, Unit 5, Toronto, Ontario, M5B 1Y4, Canada ("SaaS Hive," "we," "us," or "our").

They govern your access to and use of the Unhid website at unhid.ai, the free audit tool, the prerendering service, the dashboard, and any related features (together, the "Service").

By creating an account, paying for a plan, or using the free audit, you agree to these Terms. If you do not agree, do not use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" and "Customer" refer to that entity.

1. Definitions

Account. The Customer profile created to access the Service.

Audit. The free diagnostic tool at unhid.ai/audit that analyzes a submitted URL.

Bot Signature. A recognized identification pattern for an AI crawler or search engine bot.

Cache TTL. The maximum time a prerendered version of a page is served from cache before being refreshed from origin.

Customer Content. Any content, code, text, images, metadata, or other material on a Customer Site that Unhid fetches, caches, renders, or serves under these Terms.

Customer Site. A website or web application owned or controlled by the Customer and routed through Unhid.

End User. Any crawler, search bot, or other automated agent that requests pages from your Customer Sites through Unhid, and any human visitor who reaches your Customer Sites.

Plan. The subscription tier selected by the Customer and its associated entitlements.

Render. A single generation, regeneration, or delivery of prerendered content as defined in Section 9.6.

Subscription. The recurring paid arrangement for access to the Service.

2. The Service

2.1 What Unhid does

Unhid serves prerendered HTML to recognized AI crawlers and search engine bots that request pages from Customer Sites routed through Unhid via DNS. Human visitors are passed through to the Customer's origin server and are not routed through Unhid.

2.2 Plans and entitlements

Current Plans are published at unhid.ai/pricing. Each Plan defines the number of domains permitted, monthly Render allowance, Cache TTL, cache warmer cadence, and support tier. Bot Signature coverage applies across all Plans.

2.3 Free Audit

The Audit is available without an Account. Section 7 governs its use.

2.4 Changes to features

Unhid may add, remove, or modify features, supported Bot Signatures, or technical behavior of the Service. We will give reasonable advance notice of any material reduction in features included in your current Plan. If a material reduction affects you, you may cancel and receive a prorated refund of any prepaid fees covering the period after cancellation.

2.5 Beta features

Features marked "beta," "preview," or similar are provided as is, may be modified or discontinued at any time, and are not covered by any service availability commitment.

2.6 No control over crawlers

The crawlers and search engines that interact with the Service are operated by third parties, including Google, OpenAI, Anthropic, Perplexity, and others. Unhid does not control their behavior, identification methods, indexing decisions, citation choices, or policies. Unhid uses reasonable methods to identify recognized crawlers but cannot guarantee that every crawler will be identified correctly or that every request from a real crawler will be served prerendered content.

Changes in third-party crawler behavior, APIs, identification methods, rendering support, indexing systems, or platform policies may materially affect the effectiveness of the Service. Unhid will use commercially reasonable efforts to adapt to such changes but does not guarantee continued compatibility or effectiveness with any specific third-party system.

2.7 Plan changes and retirement

Unhid may add, modify, or retire Plans from time to time. If Unhid retires a Plan you are on, we will give at least 90 days' advance notice by email and automatically migrate your Subscription to the closest available Plan based on your usage. If the new Plan is more expensive, the new Fees will not apply until your next renewal, and you may cancel before the migration takes effect.

3. Eligibility and account

3.1 Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an Account. You must provide accurate, current, and complete registration information, including a working email address and valid payment method, and keep this information updated for as long as you maintain an Account. Unhid is not responsible for any failure of notice or service if your contact information on file is outdated or incorrect.

3.2 Account security

You are responsible for keeping your Account credentials confidential and for all activity that occurs under your Account. Notify us promptly if you suspect unauthorized access.

3.3 One Account per entity

A single Account is intended for one Customer. Sharing credentials across separate businesses is not permitted unless your Plan expressly allows it.

3.4 Multi-domain Plans

For Plans that allow more than one domain, every domain added to the Account must be owned or controlled by the Account holder or routed under express written authorization from the owner. You are responsible for ensuring this is true for every domain you add.

3.5 Anti-circumvention

You may not create multiple Accounts, use false information, or otherwise circumvent the terms of refund windows, trial limits, Plan allowances, or other restrictions in these Terms. Unhid may, at its discretion, refuse refunds, suspend Accounts, or block payment methods associated with circumvention.

3.6 Account ownership disputes

The Account is owned by the person or entity named in the registration record and associated with the payment method on file. If a dispute arises over Account ownership, Unhid may, at its discretion, freeze the Account until the dispute is resolved between the parties, require documentation of ownership, or transfer the Account to the party reasonably determined to be the rightful owner. Unhid is not responsible for resolving disputes between cofounders, employees, agencies and clients, or other parties claiming control of an Account.

4. License to use the Service

Subject to your compliance with these Terms and timely payment of Fees, Unhid grants you a limited, non-exclusive, non-transferable, non-sublicensable license during the Subscription term to access and use the Service for your internal business purposes.

You may not:

  1. copy, modify, or create derivative works of the Service;
  2. reverse engineer, decompile, or attempt to derive source code or underlying ideas from the Service, except to the extent this restriction is prohibited by applicable law;
  3. resell, sublicense, rent, lease, or otherwise commercially exploit the Service, except as part of using Unhid on your own Customer Site;
  4. use the Service to build a competing product;
  5. remove, obscure, or alter any proprietary notices on the Service;
  6. use the Service in violation of these Terms, the Acceptable Use Policy in Section 8, or applicable law.

4.1 Not designed for high-risk use

The Service is not designed, intended, or warranted for use cases requiring guaranteed regulatory compliance, archival integrity, legal record retention, medical reliability, financial reporting accuracy, or life-critical availability. You are responsible for determining whether the Service is appropriate for your use case and for implementing any additional controls your industry requires.

5. Customer Content and the prerendering grant

5.1 Your ownership

You retain all right, title, and interest in your Customer Sites and Customer Content. These Terms do not transfer ownership of anything you own to Unhid.

5.2 License to Unhid

To deliver the Service, you grant Unhid a limited, non-exclusive, worldwide, royalty-free, sublicensable (solely to sub-processors acting on Unhid's behalf to deliver the Service) license, for the duration of your Subscription and for a reasonable wind-down period after termination, to:

  1. fetch, crawl, and request pages from your Customer Sites;
  2. process, render, and generate prerendered HTML versions of those pages;
  3. cache prerendered output on Unhid infrastructure;
  4. serve prerendered output to recognized crawlers and search engine bots in response to their requests;
  5. add technical metadata necessary for delivery, including HTTP headers and bot-specific markup;
  6. log technical data about Renders for operational, security, and billing purposes.

This license is the legal basis on which Unhid operates. Without it, we cannot deliver the Service.

5.3 Your warranties

You represent and warrant that:

  1. you own each Customer Site or have express written authorization from its owner to route it through Unhid;
  2. you have the right to grant the license in Section 5.2 for all Customer Content;
  3. your Customer Sites and Customer Content do not violate any third-party rights, including intellectual property, privacy, or publicity rights;
  4. your Customer Sites comply with applicable law in every jurisdiction where they are accessible.

5.4 TLS authorization

To route crawler traffic through Unhid, you authorize Unhid to:

  1. issue, renew, manage, and revoke TLS certificates for the domains you route through Unhid, including via Let's Encrypt or another certificate authority Unhid selects;
  2. respond to certificate authority validation challenges on your behalf;
  3. terminate TLS for crawler traffic on Unhid infrastructure.

This authorization applies to each domain you add to your Account and remains in effect until you remove the domain or cancel your Subscription. On cancellation or domain removal, Unhid will revoke and stop renewing certificates for the affected domain within a reasonable period.

5.5 Cache freshness and deletion

Prerendered content may lag behind your origin by up to your Plan's configured Cache TTL. This is a feature of the Service, not a defect. If a faster refresh is critical for your use case, you can trigger an on-demand cache warm from your dashboard or upgrade to a Plan with shorter TTL.

If you remove content from your origin or request its removal from Unhid, Unhid will use commercially reasonable efforts to purge that content from the cache. You acknowledge that cached content may continue to be served for a period of time after deletion or removal request, up to the Cache TTL for your Plan, and that Unhid cannot guarantee immediate purging across all cache layers.

5.6 End Users

Unhid's relationship is with you, not with End Users. You are responsible for any terms, notices, privacy disclosures, or other communications required between you and your End Users. Unhid is not a party to any agreement between you and your End Users.

5.7 No collection of visitor personal data

Unhid serves prerendered content only to recognized crawlers and search bots. Unhid does not receive, process, or store cookies, IP addresses, request headers, or other personally identifiable information from human visitors to your Customer Sites in connection with the prerendering service.

5.8 No review of Customer Sites

Unhid does not review, monitor, approve, or endorse the content of your Customer Sites. Customer Sites may contain content that is inaccurate, incomplete, offensive, infringing, or otherwise objectionable. Unhid serves what your Customer Site returns. Unhid disclaims any responsibility arising from Customer Content, including any harm caused to End Users, third parties, or you as a result of Customer Content being served through the Service.

6. Our intellectual property

Unhid owns all right, title, and interest in the Service, including the Audit, the prerendering engine, the dashboard, documentation, branding, and any improvements or derivative works. No rights are granted to you in Unhid's intellectual property except the limited license in Section 4.

6.1 Feedback

If you submit suggestions, ideas, or feedback to Unhid, you grant Unhid a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without obligation or attribution.

6.2 Usage data

Unhid may collect and use technical, performance, and usage data about how the Service operates, in aggregated or anonymized form, to operate, improve, and market the Service.

7. The Free Audit

7.1 What the Audit does

The Audit fetches the URL you submit, retrieves its publicly available HTML, and simulates how recognized crawlers and search bots would receive that page.

To analyze AI mention rates and citation potential, the Audit may send the URL, page metadata, or page content to third-party AI providers, including OpenAI Inc., Anthropic PBC, and Perplexity AI Inc. These providers operate under their own terms and privacy policies. Where commercially available, Unhid uses zero data retention configurations with these providers, meaning they do not store the content sent to them or use it for model training.

The legal basis for processing personal data through the Audit, where applicable, is your consent under Article 6(1)(a) GDPR or equivalent provisions in other jurisdictions.

7.2 Your warranties for Audit use

By submitting a URL to the Audit, you represent that:

  1. you own, control, or have permission to scan the URL you submit;
  2. running the Audit on the URL does not violate any third-party rights or applicable law;
  3. you are not using the Audit to harass, target, or surveil any individual or organization.

You are solely responsible for the URLs you submit. Unhid does not verify ownership or authorization.

7.3 Optional email capture and reports

If you provide your email address to receive a full Audit report, you authorize Unhid to send you the report and related follow-up communications. You can unsubscribe at any time. Email handling is governed by the Privacy Policy.

7.4 Aggregate research

Unhid may include anonymized, aggregated Audit data in research, publications, and product improvements, including the State of AI Discoverability report or similar studies. Aggregated data will not identify your business or site without your consent.

7.5 No guarantee of accuracy

Audit findings are best-effort diagnostics, not certified assessments. AI crawler behavior changes frequently and may not match what the Audit observes at the time of scanning. Unhid makes no warranty that Audit findings are complete or accurate, or that following recommendations will produce specific outcomes.

7.6 Rate limits

Unhid may rate-limit, throttle, or block Audit use that appears automated, abusive, or designed to extract Unhid's internal logic.

7.7 AI-generated content

Audit outputs may include AI-generated analysis, recommendations, summaries, or classifications. AI systems can produce results that are incomplete, inaccurate, hallucinated, or outdated. You are responsible for independently evaluating any AI-generated content before relying on it or acting on it. Unhid disclaims any responsibility for decisions or actions you take based on AI-generated outputs.

8. Acceptable Use Policy

You agree not to:

8.1 Misuse the Audit

  1. submit URLs you do not own or have authorization to scan;
  2. use the Audit to scan sites belonging to competitors, individuals, or organizations without their permission;
  3. attempt to bypass rate limits, ownership checks, or authentication controls.

8.2 Misuse the prerendering layer

  1. route content that is illegal, infringing, defamatory, obscene, or otherwise unlawful in the jurisdictions where it will be served;
  2. use Unhid to cloak content, meaning serving substantively different content to crawlers than to humans beyond the normal equivalence of prerendered HTML and a hydrated JavaScript app;
  3. route phishing sites, malware distribution sites, or sites that exist to deceive search engines, AI systems, or users;
  4. route sites in violation of the published policies of the crawlers Unhid supports, including Google Search Essentials, OpenAI's GPTBot policy, Anthropic's ClaudeBot policy, and Perplexity's PerplexityBot policy, where doing so would put Unhid's infrastructure or its other customers at risk.

8.3 Misuse the Account

  1. share or resell Account access outside the terms of your Plan;
  2. attempt to gain unauthorized access to other Accounts or to Unhid systems;
  3. interfere with the operation of the Service, including by submitting malformed requests, denial-of-service attempts, or scraping;
  4. use the Service to send unsolicited communications;
  5. conduct penetration testing, vulnerability scanning, load testing, security benchmarking, or automated probing of the Service without Unhid's prior written authorization.

8.4 Enforcement

Unhid may investigate suspected violations. If we determine in our reasonable judgment that you have violated this Section 8, we may:

  1. warn you;
  2. suspend specific domains, features, or your entire Account;
  3. terminate your Subscription under Section 11;
  4. remove or refuse to serve specific content;
  5. report violations to law enforcement where required by law.

We will give notice before taking action where it is reasonable to do so, except in cases of suspected fraud, illegal activity, or risk to the Service or its other users.

9. Fees, billing, and renewals

9.1 Fees and taxes

Fees for each Plan are published at unhid.ai/pricing. By selecting a Plan, you agree to pay the listed Fees in the currency stated.

Fees are stated exclusive of all taxes, levies, duties, and similar charges. You are responsible for any value-added tax (VAT), goods and services tax (GST), sales tax, withholding tax, or similar charges imposed on the Fees by any taxing authority, except taxes based on Unhid's net income. Where required by law, Unhid will collect applicable taxes and add them to your invoice.

If you are a business in a jurisdiction that operates a reverse-charge mechanism, you are responsible for self-accounting for VAT or GST and must provide a valid tax identification number on registration.

9.2 Billing cycles

Monthly Plans are billed monthly in advance. Annual Plans are billed yearly in advance. Your card or other payment method on file is charged automatically at the start of each cycle.

9.3 Auto-renewal

Subscriptions renew automatically at the end of each billing cycle at the then-current rate for your Plan, unless you cancel before the renewal date. For annual Plans, Unhid will send a renewal reminder by email at least 30 days before the renewal date, and a confirmation after charging your payment method, as required by applicable state and federal automatic renewal laws.

9.4 Price changes

Unhid may change Fees with at least 30 days' written notice by email. New Fees take effect at your next renewal. If you do not agree to the new Fees, you may cancel before the next renewal without penalty.

9.5 Failed payments

If a payment fails, Unhid will attempt to charge the payment method on file again and may notify you to update it. If payment is not resolved within 15 days, Unhid may suspend access to the Service. If payment is not resolved within 30 days, Unhid may terminate the Subscription. Crawler traffic to your domains may stop being served during suspension.

9.6 Renders, overage, and limits

A "Render" is counted each time Unhid:

  1. generates a fresh prerendered version of a page (first cache, scheduled re-cache, on-demand re-cache, or warm cycle);
  2. serves prerendered content to a recognized crawler request that requires regeneration, including responses to non-200 status codes within your domain.

For clarity, the following are counted as Renders:

  1. the first generation of a cached page;
  2. scheduled re-caches based on your Plan's Cache TTL;
  3. on-demand re-caches you trigger from the dashboard or API;
  4. cache warmer cycles per your Plan's cadence;
  5. regenerations triggered by recognized crawler retries.

The following are not counted as Renders:

  1. requests filtered as abusive or spoofed under Section 13.6;
  2. requests served entirely from existing cache without regeneration;
  3. requests Unhid determines in good faith to be fraudulent.

Renders are counted against your Plan's monthly allowance. If you exceed the allowance:

  1. Unhid will notify you by email and in the dashboard before any usage interruption;
  2. Unhid may continue serving Renders and bill the excess at the overage rate published at unhid.ai/pricing for your Plan;
  3. you may pause overage by upgrading or downgrading from the dashboard;
  4. at Unhid's discretion, sustained overage may be treated as a need to upgrade Plans.

You are responsible for monitoring your usage. Unhid provides dashboard tools to help you manage Renders.

10. Refunds and cancellation

10.1 Cancellation

You can cancel your Subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period. Unhid does not provide prorated refunds for the unused portion of a billing period except as set out in Sections 10.2 and 10.3.

10.2 Annual Plan refund window

If you purchase an annual Plan, you can request a full refund within 30 days of the initial purchase. After 30 days, the annual Subscription continues until the end of the paid term and is not refundable.

10.3 Pro Plan trial refund

New Pro subscribers can request a full refund within 14 days of first activation if the Service does not work for their site. The 14-day window applies once per Customer, regardless of how many Accounts or Subscriptions are created.

10.4 How to request a refund

Email us from the address on your Account within the applicable refund window. Refunds are processed to the original payment method within 10 business days of approval.

10.5 Effect of cancellation

On cancellation:

  1. Unhid stops serving prerendered output for your domains at the end of the billing period;
  2. you are responsible for removing DNS records that point to Unhid;
  3. cached content is purged on a schedule defined in the Privacy Policy;
  4. your dashboard remains accessible for 30 days for data export;
  5. after 30 days, Account data may be deleted in accordance with the Privacy Policy and applicable law.

11. Termination by Unhid

11.1 For cause

Unhid may suspend or terminate your access to the Service:

  1. immediately for material breach of these Terms, including any violation of the Acceptable Use Policy;
  2. immediately if required by law or by a competent authority;
  3. immediately if continued service would create a security, legal, or operational risk to Unhid or its other customers;
  4. for non-payment, after the notice periods in Section 9.5;
  5. for any other reason, with at least 30 days' written notice and a prorated refund of any prepaid Fees for the period after termination.

If Unhid terminates without cause under (e), you keep the refund described. If Unhid terminates for cause under (a) through (d), prepaid Fees are not refundable.

11.2 Operational suspension

Without limiting Section 11.1, Unhid may suspend access to the Service, in whole or in part, immediately and without prior notice if:

  1. continued operation would risk material harm to Unhid's infrastructure or to other customers;
  2. Unhid receives a credible report of illegal content, phishing, malware, or coordinated abuse;
  3. Unhid is required to do so by law, court order, or a recognized authority;
  4. a payment fails and the grace period under Section 9.5 has expired;
  5. Unhid in good faith believes that suspension is necessary to protect the security, availability, or integrity of the Service.

Unhid will notify you of the suspension and the reason as soon as reasonably possible. We will restore access once the underlying issue is resolved, unless we terminate under Section 11.1.

11.3 Protection of third-party relationships

Unhid depends on relationships with third-party crawler operators, hosting providers, certificate authorities, and AI service providers. If your use of the Service causes or threatens to cause Unhid's IP ranges, accounts, API keys, or other infrastructure to be blocked, suspended, rate-limited, banned, or otherwise restricted by any such third party, Unhid may suspend or terminate your Subscription immediately. You will indemnify Unhid for any costs, fees, or losses arising from such restrictions caused by your use of the Service.

12. Privacy and data protection

12.1 Privacy Policy

Personal data Unhid processes about you, your visitors, or end users is governed by the Privacy Policy.

12.2 Data Processing Addendum

If you process personal data of EU, UK, or California residents through your Customer Site, the Data Processing Addendum at unhid.ai/dpa applies and is incorporated by reference. By accepting these Terms, you accept the DPA on behalf of yourself and any authorized users.

12.3 Sub-processors

A current list of sub-processors Unhid uses to deliver the Service, including hosting providers, payment processors, AI API providers used in the Audit, email providers, and monitoring services, is maintained at unhid.ai/subprocessors. Unhid will give reasonable notice of any addition or replacement of sub-processors that materially affects personal data processing.

12.4 Security

Unhid maintains administrative, technical, and physical safeguards designed to protect Customer Content and personal data. These include encryption in transit, access controls, logging, and a documented incident response process. No system is perfectly secure. Unhid does not warrant that the Service will be free of unauthorized access or loss of data.

12.5 Breach notification

If Unhid becomes aware of a security incident affecting your Customer Content or personal data processed on your behalf, Unhid will notify you without undue delay and in any event within 72 hours of becoming aware, where required by applicable law.

12.6 No sale or training use of data

Unhid does not sell Customer Content or personal data. Unhid does not use Customer Content to train its own AI models or to train AI models for any third party. Aggregated, anonymized usage data may be used to improve the Service, as described in Section 6.2.

12.7 Backups

You are responsible for maintaining your own backups of your Customer Site and Customer Content at your origin. Unhid's caches are operational caches, not backups. Cached content may be invalidated, purged, or lost at any time as part of normal operation, security response, or service termination.

13. Service availability

13.1 Target availability

Unhid targets 99.9% monthly availability for the prerendering service. This is a target, not a contractual guarantee. The free Audit is provided as available with no availability target.

13.2 Scheduled maintenance

Scheduled maintenance windows do not count against availability. We will give reasonable advance notice of planned maintenance by email or in the dashboard where possible.

13.3 Excluded events

Availability targets do not apply to:

  1. force majeure events;
  2. failures of third-party services Unhid depends on, including DNS providers, CDNs, certificate authorities, and AI providers;
  3. failures or downtime of your origin server;
  4. issues caused by your configuration, code, or content;
  5. actions by you or your authorized users that disrupt the Service.

13.4 No service credits

Standard self-serve Plans do not include service credits or financial remedies for availability shortfalls. Your sole remedy for sustained availability problems is to cancel under Section 10.

13.5 Crawler identification

Unhid identifies crawlers using user-agent strings, IP ranges, and other signals published or reasonably inferable from third-party crawler operators. Crawler identification methods may produce false positives, meaning prerendered content is served to traffic that is not actually a recognized crawler, or false negatives, meaning a real crawler is not identified and is passed through to your origin. Crawlers may also change identification practices without notice. Unhid is not liable for content served to, or withheld from, any party as a result of identification decisions made in good faith.

13.6 Anti-abuse traffic filtering

Unhid may throttle, block, deprioritize, or refuse to serve requests that appear automated, spoofed, malicious, excessive, or economically abusive, even where such requests claim to originate from recognized crawler user agents or IP ranges. Requests filtered as abuse under this section are not counted against your Plan's Render allowance and are not billed as overage.

13.7 Enterprise commitments

Enterprise Plan customers may negotiate separate service level commitments, support obligations, response times, service credits, or other terms under a signed Order Form or Master Services Agreement. In the event of conflict between an Enterprise agreement and these Terms, the Enterprise agreement controls solely with respect to that Customer.

14. Warranties and disclaimers

14.1 Limited warranty

Unhid warrants that the Service will perform substantially as described in the documentation at unhid.ai/docs during your Subscription. Your exclusive remedy for breach of this warranty is to notify Unhid, allow a reasonable period to correct the issue, and if Unhid does not correct it, to terminate and receive a prorated refund of prepaid Fees.

14.2 Disclaimer of other warranties

Except as expressly stated in Section 14.1, the Service is provided "as is" and "as available." To the maximum extent permitted by law, Unhid disclaims all other warranties, whether express, implied, statutory, or otherwise, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment.

14.3 Specific disclaimers

Unhid does not warrant that:

  1. any AI tool, including ChatGPT, Claude, Perplexity, or others, will cite, recommend, or surface your Customer Site;
  2. Google or any other search engine will index, rank, or display your Customer Site;
  3. organic traffic, AI mentions, search impressions, or business outcomes will improve as a result of using the Service;
  4. Audit findings are complete or that fixing them will produce any specific outcome;
  5. third parties will continue to operate crawlers, APIs, or services that the Service interacts with;
  6. the Audit, the dashboard, or any related communications constitute legal, SEO, marketing, or professional advice;
  7. you will not experience search ranking loss, de-indexing, loss of discoverability, traffic decline, or third-party crawler penalties as a result of changes in crawler behavior, your configuration, third-party systems, or any combination of factors outside Unhid's direct control.

Unhid is not responsible for search ranking loss, de-indexing, loss of discoverability, or third-party crawler penalties resulting from changes in crawler behavior, customer configuration, or third-party systems.

Search and AI crawler behavior is controlled by third parties. Unhid's role is to make your content readable. What those third parties do with that readable content is outside Unhid's control.

14.4 Beta features

Beta features are provided as is without any warranty.

15. Limitation of liability

15.1 Cap on liability

To the maximum extent permitted by law, Unhid's total cumulative liability arising out of or related to these Terms, the Service, or any related matter, is limited to the greater of:

  1. the Fees actually paid by you to Unhid in the 12 months preceding the event giving rise to the claim;
  2. one hundred US dollars ($100).

15.2 Excluded damages

To the maximum extent permitted by law, Unhid is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or use, even if Unhid has been advised of the possibility of such damages.

15.3 Exceptions

The limitations in Sections 15.1 and 15.2 do not apply to:

  1. Unhid's indemnification obligations under Section 16.1;
  2. liability arising from Unhid's gross negligence, willful misconduct, or fraud;
  3. liability that cannot be limited or excluded by applicable law.

15.4 Basis of the bargain

You acknowledge that the Fees reflect the allocation of risk in these Terms, and that the limitations of liability are an essential basis of the bargain between you and Unhid. Without these limitations, Unhid would not be able to offer the Service at the Fees published.

16. Indemnification

16.1 By Unhid

Unhid will defend you against any third-party claim alleging that your authorized use of the Service infringes a third party's intellectual property rights in the United States, and will pay damages finally awarded by a court of competent jurisdiction or amounts agreed in a settlement approved in writing by Unhid. Unhid's obligations under this Section 16.1 do not apply to claims arising from:

  1. Customer Content;
  2. your modification of the Service or combination of the Service with anything not provided by Unhid;
  3. your use of the Service in violation of these Terms or applicable law.

If a claim under this Section 16.1 is made or appears likely, Unhid may at its option procure the right for you to continue using the Service, modify the Service to make it non-infringing, or terminate your Subscription and refund prepaid Fees for the period after termination.

16.2 By you

You will defend, indemnify, and hold harmless Unhid and its officers, directors, employees, and agents from and against any third-party claim, loss, damage, liability, cost, or expense, including reasonable attorneys' fees, arising from or related to:

  1. your Customer Content or Customer Sites, including any claim that Customer Content infringes a third party's rights;
  2. URLs you submit to the Audit, including any claim that you lacked permission to scan a URL you submitted;
  3. your violation of these Terms, including the Acceptable Use Policy;
  4. your violation of applicable law in connection with the Service;
  5. your false or inaccurate representations under Section 5.3;
  6. any action taken against Unhid by a third-party crawler operator, hosting provider, certificate authority, or AI service provider as a result of your use of the Service.

16.3 Procedure

The indemnified party will give the indemnifying party prompt written notice of the claim, reasonable cooperation in the defense, and sole control of the defense and settlement, provided that no settlement that imposes a material obligation on the indemnified party may be entered without that party's written consent.

17. DMCA and copyright

17.1 DMCA notices

Unhid respects intellectual property rights. If you believe content served through the Service infringes your copyright, please send a notice to our designated agent that complies with 17 U.S.C. § 512(c)(3), including:

  1. your physical or electronic signature;
  2. identification of the copyrighted work claimed to have been infringed;
  3. identification of the material claimed to be infringing and where it is located;
  4. your contact information;
  5. a statement that you have a good faith belief that use of the material is not authorized by the copyright owner;
  6. a statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.

17.2 Counter-notices

If you believe content of yours was removed in error, you may send a counter-notice to the designated agent in compliance with 17 U.S.C. § 512(g)(3).

17.3 Repeat infringers

Unhid will, in appropriate circumstances, terminate Accounts of customers who are determined to be repeat infringers.

18. Confidentiality

Each party may receive non-public information from the other ("Confidential Information"). The receiving party will:

  1. use Confidential Information only to perform under these Terms;
  2. protect it with the same care it uses for its own confidential information, and no less than reasonable care;
  3. not disclose it to third parties except to employees, contractors, or advisors who need to know and are bound by confidentiality obligations.

Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known to the receiving party without confidentiality obligations, was independently developed without use of Confidential Information, or is required to be disclosed by law (with reasonable advance notice where permitted).

These obligations survive termination for three years, except that trade secrets remain protected for as long as they qualify as trade secrets under applicable law.

19. Publicity

Unhid may include your name and logo in a customer list on its website and marketing materials. You can opt out by emailing us. Unhid will not use your name in a quoted statement, testimonial, case study, or press release without your prior written consent.

20. Modifications to the Terms

Unhid may modify these Terms from time to time. We will post the updated Terms at unhid.ai/terms with a new "Last updated" date. For material changes, we will give at least 30 days' advance notice by email or through the dashboard.

Continued use of the Service after the effective date of a modification constitutes acceptance. If you do not agree to a material change, you may cancel before the effective date and receive a prorated refund of any prepaid Fees covering the period after cancellation.

21. Dispute resolution and governing law

21.1 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

21.2 Informal resolution

Before filing any formal proceeding, you agree to contact Unhid with a written description of the dispute, and to engage in good-faith discussion for at least 30 days.

21.3 Binding arbitration

If the dispute is not resolved through informal discussion, you and Unhid agree that all disputes arising from or related to these Terms or the Service will be resolved by binding arbitration administered by JAMS in Ottawa, Ontario, in English, by a single arbitrator selected under JAMS rules. Judgment on the award may be entered in any court of competent jurisdiction.

21.4 Class action waiver

You and Unhid each waive any right to bring or participate in a class, collective, or representative action. Disputes must be brought individually.

21.5 Opt-out

You may opt out of Section 21.3 and Section 21.4 by emailing us within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your Account email. Opting out does not affect any other part of these Terms.

21.6 Exceptions

Either party may bring a claim for injunctive or equitable relief related to intellectual property or breach of confidentiality in a court of competent jurisdiction in Ottawa, Ontario, and small claims actions may be brought in the appropriate small claims court.

22. General

22.1 Entire agreement

These Terms, together with the Privacy Policy, Data Processing Addendum, and any order forms or invoices, constitute the entire agreement between you and Unhid regarding the Service and supersede any prior agreements.

22.2 Order of precedence

If there is a conflict between these Terms and a document incorporated by reference, these Terms control unless the other document expressly states otherwise.

22.3 Assignment

You may not assign these Terms or any rights under them without Unhid's prior written consent. Unhid may assign these Terms without your consent in connection with a merger, acquisition, sale of assets, reorganization, or by operation of law.

22.4 Force majeure and third-party dependencies

Neither party is liable for failure or delay caused by events beyond reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, governmental action, pandemics, internet or telecommunications failures, cyberattacks, or actions by third parties.

The Service depends on third-party providers, including hosting providers, content delivery networks, certificate authorities, DNS providers, and AI service providers. Disruption, restriction, change, or discontinuation of any such third-party service may affect the Service. Unhid is not liable for any failure or delay caused by such third-party events and may suspend or modify the Service as necessary to respond to them.

22.5 Notices and required communications

Notices to you may be sent by email to the address on your Account or posted in the dashboard. Notices to Unhid must be sent by email.

Regardless of your marketing email preferences, you consent to receive operational communications related to your Account, including billing notices, renewal reminders, security alerts, service announcements, suspension notices, and legal notices. You cannot opt out of these required communications while maintaining an Account.

22.6 No waiver

A party's failure to enforce a provision is not a waiver of that provision or any other provision.

22.7 Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

22.8 Independent contractors

The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.

22.9 No third-party beneficiaries

These Terms do not create rights for any third party.

22.10 Export and sanctions

You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive US sanctions, and that you are not on any US government list of prohibited or restricted parties. You agree to comply with applicable export control and sanctions laws when using the Service.

Unhid relies on third-party providers, including AI service providers, whose services may be restricted or unavailable in certain jurisdictions or to certain end users. Unhid may suspend, limit, or refuse Service features that depend on such third-party providers if continued provision would violate the provider's terms, applicable sanctions, or export control laws.

22.11 Competing products

Unhid may develop, acquire, license, or distribute products that compete with your business. You acknowledge that nothing in these Terms restricts Unhid from doing so, provided Unhid does not breach its confidentiality obligations under Section 18 or misuse your intellectual property.

22.12 Legal process

Unhid may access, preserve, or disclose Account information or Customer Content if required by law, by valid legal process, or in good faith belief that doing so is necessary to comply with legal obligations, protect Unhid's rights or property, prevent fraud or abuse, or protect the safety of any person.

22.13 Survival

The following sections survive termination: 5.1 (Your ownership), 6 (Our intellectual property), 10.5 (Effect of cancellation), 12 (Privacy and data protection), 14 (Warranties and disclaimers), 15 (Limitation of liability), 16 (Indemnification), 17 (DMCA and copyright), 18 (Confidentiality), 21 (Dispute resolution), 22 (General), and any other provision that by its nature should survive.
